Terms and Conditions

Welcome to Spark Event Studios, LLC (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern the use of our services, including virtual and hybrid event strategy, production, and management (“Services”). By engaging our Services or visiting our website, you (“Client,” “you”) agree to these Terms.

1. Scope of Services

Spark Event Studios, LLC provides professional virtual and hybrid event services, including but not limited to:

  • Event strategy, production, and broadcast management

  • Event branding, creative, and marketing assistance

  • Registration and funnel creation

  • Attendee management and post-event analytics

Any additional services requested beyond the initial agreement may incur additional fees.

2. Payment Terms

  • A 10% non-refundable deposit is required to secure your event date and initiate services.

  • The remaining balance is due prior to the event date.

  • Failure to complete payment before the event may result in suspension or cancellation of services.

  • Spark Event Studios, LLC reserves the right to charge a 1.5% monthly service fee on overdue balances or the maximum allowed by law.

3. Cancellations and Rescheduling

All deposits and payments made are non-refundable. However, payments may be transferred toward another event date within 12 months of the original event, subject to availability.
Spark Event Studios, LLC is not responsible for changes or cancellations caused by factors beyond our control, including but not limited to platform outages, natural disasters, or force majeure events.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, timely information and all necessary content required for event delivery.

  • Obtain all rights and permissions for materials used in their event.

  • Respond to communication and approvals promptly to avoid delays.

Spark Event Studios, LLC is not liable for delays or additional costs caused by client inaction or incomplete materials.

5. Intellectual Property

All creative content, graphics, and materials developed by Spark Event Studios, LLC remain our property unless otherwise agreed in writing.
Clients retain ownership of their logos, trademarks, and content they supply for the event.
Spark Event Studios, LLC reserves the right to use client logos, event screenshots, and brief clips for promotional and portfolio purposes unless the client opts out in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, attendee data, and event materials.
Confidential information will not be shared with third parties without written consent, except as required by law.

7. Limitation of Liability

Spark Event Studios, LLC strives for excellence in every event; however:

  • We are not responsible for indirect, incidental, or consequential damages.

  • Our total liability for any claim shall not exceed the total amount paid by the client for the specific event.

  • We are not liable for issues beyond our control, including third-party platform outages or internet failures.

8. Force Majeure

Neither party shall be held liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, strikes, power outages, pandemics, or technical failures.
In such cases, both parties will make good faith efforts to reschedule or adapt the event.

9. Dispute Resolution

Any disputes arising under these Terms shall first be resolved through mediation or arbitration in the State of New Jersey.
If such methods fail, disputes will be governed by and construed in accordance with the laws of the State of New Jersey, and both parties consent to the jurisdiction of New Jersey courts.

10. Modifications

Spark Event Studios, LLC reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our Services constitutes acceptance of any revised Terms.
